TERMS OF USE AND PRIVACY POLICY

These terms of use and the following privacy policy (hereinafter collectively referred to as the "conditions") apply to the allia^TM platform including the smart matchmaking platform and related services (hereinafter collectively referred to as “allia” or “allia ™” or the “service”). This service is provided to you through a partnership between the Secretariat to the Cree Nation Abitibi-Témiscamingue Economic Alliance and PairConnex. The partners are hereinafter collectively referred to as “we” or the “service providers”).

These conditions constitute the contract which governs the use of the service and it binds the user, legally, to the providers of the service.

In order to register for the service, you must agree to all these terms. If you do not accept, in whole or in part, these terms, please do not register for the service.

We reserve our right to modify or update these terms of use, in particular to improve your experience of using the platform. Changes will come in effect immediately and will be integrated in the new policy. If these changes might be of importance, you will be notified by a notice on the platform. We recommend that you read regularly the latest version of the terms of use. You ARE DEEMED to having ACCEPTED the new terms by continuing using the service following the notice issuing.

Description of the service

allia^TM is a smart matchmaking and networking platform based on the mutual compatibility of service users. The service allows each user to receive lists of personalized recommendations in which other users of the service appear and which are scheduled according to your mutual compatibility rate. The service also allows users to take part in virtual or in-person meetings and networking events in order to develop their business networks. To register for the service, you must complete the registration form, which includes a preparatory questionnaire that allows us to know your professional profile and your interests, needs and preferences for professional networking purposes. Based on the information and preferences you provide to us in the preparatory questionnaire, the service will perform a smart match and will submit networking proposals to you with other users of the service.

Technical access to the service

The service and its digital content are accessible through Firefox, Chrome, and Safari web browsers. However, we cannot guarantee that these browsers will always be compatible with the service. In the event of incompatibility, we undertake to use reasonable efforts to attempt to restore compatibility within a reasonable time; however, we disclaim any liability that may arise from such technological changes, including without limitation, service interruptions.

The user is solely responsible for having or obtaining adequate IT equipment to access the service and use all of its features. In case of technical difficulty, you can contact us at the email address: info@pairconnex.com . However, we can not guarantee that any issues will be resolved.

Prohibited use

We are willing to promote responsible use of our service, respecting applicable laws and other users. By registering for the Service, you agree not to use the Service in a manner that is contrary to these terms and conditions or that is inappropriate or unacceptable, including but not limited to:

Use the service for any illegal, unlawful, immoral, or obscene purpose, nor to encourage such use;
Soliciting others to carry out or participate in illegal or illicit activities;
Infringing or violating our intellectual property rights or the intellectual property rights of a third party;
Harass, abuse, insult, defame, slander, denigrate, intimidate, harm or discriminate on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin , or a handicap, in any way whatsoever and with regard to any person, whether another user of the service or not;
Make false or misleading representations;
Upload or transmit computer viruses or any other type of code or malware of any type that could be or are being used in a way that will affect the functionality or operation of the service or any site. web or related tool, or on the operation of the device of one or more users or that of the providers;
Collect, use, share or retain personal information of other users, except in accordance with these terms;
Using or spreading spam or phishing;
Use the service in a manner that will interfere with or bypass security features.

We reserve the right to suspend, restrict or terminate your access to or use of the Service or any related website or tool at any time without notice, in the event that we have reason to believe that you are engaging in or attempting to engage in a prohibited use, or if we have reason to believe that you are using the service in a manner contrary to these terms. In this case, we shall not be liable for such suspension, cancellation, or restriction, nor for any damage of any kind that may result directly or indirectly from it.

Identity and fraudulent representations

By registering for the service, you agree to use your true identity and represent that all information you provide in the course of your use of the service, including, but not limited to, all information provided in the registration form , the preliminary questionnaire and for the purposes of creating your profile, are accurate and up to date. This rule of authenticity aims to create a safe environment where people can trust each other.

Intellectual Property

Unless otherwise indicated, the service, including the elements found therein, including, but not limited to, content, data, text, images, videotapes and audio tapes, code and software, and trademarks of following trade and logos: allia^TM, and PAIRCONNEX are protected by intellectual property and are the respective property of the suppliers.

Other brands, names, words, logos, and designs may also constitute trademarks owned by service providers, other users of the service, or third parties. You are strictly prohibited from using any trademarks and trade names contained in the service other than as permitted by these terms or with the prior written permission of the service providers or their respective owners, as applicable.

You are strictly prohibited from downloading, reproducing, displaying, publishing, transmitting, distributing or otherwise using, in whole or in part, in any medium, by any means, for purposes other than personal, any element of the service or to which you have access through the service and which is protected by copyright or any other intellectual property right, without obtaining the prior written permission of the providers of the service or of the holder of the right in question, if appropriate.

Third party elements

The Service may contain hyperlinks or third-party files that may direct you to third party sites, platforms, or any other material (collectively "Third Party Material"). The fact that the service includes a reference to these third-party material does not constitute any endorsement, approval, representation, or warranty on our part, and we are not responsible for any third-party material. Access to and use of any third-party material is subject to the terms and policies of those third parties, if any, and it is your responsibility to review them.

Limitations of liability

The service providers make reasonable efforts to ensure that the service is functional. However, the service providers do not guarantee that the service will be accessible or functional without interruption or that its content is and will be free from errors, viruses, defects, harmful elements, or other materially harmful components. The service providers, their affiliates, their associates, shareholders, directors, officers, employees, agents and representatives accept no responsibility for the malfunction of any computer component, software or communication line, in relation to the loss or absence of network communication or in relation to any faulty, incomplete, incomprehensible or erased transmission by any computer or network and which may limit for any person the possibility of accessing the service or prevent it. Under no circumstances will the service providers and the aforementioned persons be liable for any damages of any kind, including actual, direct, indirect or consequential damages, arising, in whole or in part, from any internet page or any software downloading, the transmission of any information related to access or use the service, or the use or relevance of the information available as part of the service or relating to it.

Due to the intrinsic characteristics of the Internet, the service providers do not offer any guarantees against the risks of misappropriation, intrusion, contamination or hacking of data, files, and programs. It is the user's responsibility to take all appropriate measures to protect their own data, files, and programs, among other things to guard against computer viruses.

The service providers make no warranties and are not responsible for the profitability or commercial value of any business opportunity that may or may not arise from registering for and using the service.

PRIVACY POLICY

We are concerned about respecting your privacy and protecting your personal information. We are committed to protecting your personal information and only using it for the purposes for which it was collected. The purpose of this policy is to inform you about our practices regarding the protection of personal information collected through our service.

Definition of Personal Information

“Personal information” means any information that, taken alone or in combination with others, may identify an individual.

Collection and use of personal information that you voluntarily provide

By registering for the service and completing the registration form and preparatory questionnaire, you agree that we will use the information you provide, including without limitation, your full name, job title, name of the company you work for or represent, your cell phone number and email address, for the purpose of providing the service to you.

You understand that some of your information, including your full name, your title, and the name of your company, will be disseminated to other users of the closed-circuit service. If you provide your consent to do so when you complete the pre-questionnaire, we will make the other information you have provided available to other users of the service to facilitate contact and match. Also, if you accept a login invitation sent by another user, then you consent to your information being visible to that user.

Under no circumstances do we sell your personal data to third parties.

We may use some of your information, such as your email address or cell phone number, to authenticate you or to help protect your account and our service, including to prevent spam, fraud, and abuse. We also use the contact details to activate certain account features and to communicate with you for a reminder or notification by SMS or email for the purpose of making / canceling / modifying / confirming an appointment, within the limits permitted by applicable laws. You can unsubscribe from notifications by following the instructions provided.

When you create your account profile, you will also have the option of adding a short description to introduce yourself. In the future you may also be able to add a photograph to your profile. By posting this content in your profile, you represent that this content is accurate and that you have all rights in relation to this content.

We may also use the information you have provided to address issues that are brought to our attention. We can also use them to evaluate the service, including through surveys, and to improve the service so that it is better suited or more of interest to users. Finally, we may use them to help us develop other products and services that may be of interest to the public.

Collection and use of data related to your use of the service

We may collect certain data related to the use of the service, in particular when you consult the profiles of other users, send a connection invitation to another user, create a connection with another user, or when you interact with others users via the service, in order to improve the service and increase the relevance of the match recommendations made to you. More specifically, we collect information about the users with whom you communicate through the platform or those belonging to the groups with which you subscribe.

We may also collect information related to the features of the service you use, the actions you take in connection with your use of the service, and when and how often you use the service.

Communication of your information with certain third parties

Subject to what is provided in this policy, including information available to other users of the service, we will never share your personal information with third parties without your consent, except for:

our suppliers whose services have been retained to perform certain functions on our behalf (for example, data processing and management, payment processing, mail sending, keeping our databases, etc.…).

Where applicable, we take the necessary measures to ensure that these third parties only have access to the information that is necessary for them to perform the services for which we have mandated them, that they process this information only for the purposes that we have determined and that they have in place measures to protect personal information in accordance with applicable laws and allowing them to respect the same conditions and the same level of protection as what is set out in this policy.

any entity resulting from a merger or a change in control at the Secretariat or PairConnex, in whole or in part, only if the parties have signed an agreement stipulating that the collection, use and disclosure of the information are limited to the objectives of the business transaction;

any public authority if required by law, or to defend our rights, or otherwise in accordance with the law.

Also, as part of your use of the service, you can choose to use the videoconferencing service for your meetings. We do business with a third-party service provider for video conferencing; this is the Whereby platform. By choosing to use this videoconferencing service, you understand that your use of the videoconferencing service is not governed by this policy and that it is subject to the privacy policy of this third party, which may be viewed on that third party's website: https://whereby.com/. In particular, but not limited to, Whereby may ask you for information for the purpose of authentication or creating a user account.

Use of cookies

A cookie is a small data file that is stored on your computer or mobile device. Like many websites, we use cookies and similar technologies to collect additional website usage data and to operate our services. Although most Internet browsers automatically accept cookies, it is possible to change the settings of some of them to prohibit cookies or to notify you when a site tries to save a cookie on your computer. Cookies are not mandatory for a large part of our services. However, some of the features of the service may not work properly if you disable cookies.

Follow the instructions provided by your search engine or device (usually located under "Settings" or "Preferences") to change your cookie settings.

Security and data retention

The information that we collect as part of the service and in accordance with this policy is kept on servers, with high security guarantees, located in Canada. We use technical and organizational measures to protect your personal information against loss or theft as well as against unauthorized access and disclosure, both internally and externally to service providers. We offer you also, the possibility to consult, rectify and delete your data.

We keep the data until it is no longer necessary to provide our services under the agreements and licenses given to our customers, or until your account is deleted, whichever comes first. Once the purposes have been fulfilled and the personal information has become useless, especially when you stop subscribing to the service, we will ensure that it is anonymized in order to keep it for statistical or archival purposes, but so that no one is identifiable, or we destroy them. In particular, when you delete your account, we delete all the data you provided to us when completing your preparatory questionnaire, such as your profile photo and your answers; and you will no longer be able to retrieve them, afterwards.

Effect of a default on a clause

The failure of service providers to insist on the strict execution of a clause of these conditions or their failure to enforce it should not be interpreted as a waiver of the application of this clause or of a right. In the event that a court of competent jurisdiction rules that any provision of the conditions is null, invalid or unenforceable, the other provisions of the conditions not covered by this judgment will continue to apply to the extent permitted by law.

Applicable laws and jurisdiction

These conditions are governed exclusively by the laws of the province of Quebec and the federal laws applicable therein, regardless of your place of residence or location. Any dispute, remedy or claim arising out of or in connection with these conditions or the use of the websites or their content will be subject to the exclusive jurisdiction of the competent courts in the judicial district of Montreal, province of Quebec, Canada
